Marks may not be used in connection with any product or service in any manner that is likely to cause confusion among customers nor may you use any name or mark that is confusingly similar to the Marks. You may not use the Marks in any manner that disparage or discredit Microceutical Scientific LLC or its licensors. Risk of Loss
All items purchased from Microceutical Scientific LLC through any of its Websites, such as mysynergenics.com are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.

Pricing
With respect to items sold by Microceutical Scientific LLC, your credit card will be charged during the purchasing process and your order processed either that business day or the immediate business day following. Should Microceutical not be able to ship the purchased item within ten (10) business days of the order placement, you will be notified by email using the information you provided. Should you wish to cancel the order at that time; a credit in the total amount of your purchase will be issued to your credit card. Final processing and posting is then subject to your credit card company. For your purchases from third-party sellers using mysynergenics.com or any other Microceutical website, payments are charged at the time you place your order, and third-party sellers may follow different policies.

Indemnification
You agree to keep, save, protect, indemnify, and hold harmless Microceutical, its officers, directors, employees, agents, licensors, suppliers and any third party information providers to the Website from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, incurred or sustained by Microceutical arising out of, relating to or resulting from any breach or default by you under these Terms or any other obligations owed by you to Microceutical (including negligent or wrongful conduct).

Applicable Law
These Terms shall be construed and governed by the laws of the State of Illinois, notwithstanding any conflicts of law principles. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the State of Illinois. You agree that regardless of any statute or law to the contrary, any claim or cause of action by you arising out of or related to your access to or use of Microceutical’s Website, Content or these Terms must be filed within one (1) year after such claim or cause of action arises.

Copyright Policy
Microceutical respects the intellectual property rights of others and expects users to do the same. Disputes
Microceutical and you agree to first contact each other with any disputes and provide a written description of the problem, all relevant documents/information and the proposed resolution. You agree to contact Microceutical with disputes by contacting Microceutical at the address provided in these Terms of Use. Microceutical will contact you based on the contact information you have provided Microceutical.

If after 30 days the parties are unable to resolve any dispute raised under the previous provision, you agree that any dispute arising out of or related to your use of the Website or to products you purchase through Microceutical websites such as mysynergenics.com shall be resolved through binding arbitration held in Chicago, Illinois. Arbitration under these Terms shall be conducted under the rules then prevailing of the American Arbitration Association. Notwithstanding the foregoing, to the extent you have in any manner violated or threatened to violate Microceutical intellectual property rights, Microceutical may seek injunctive or other appropriate relief in any state or federal court in the state of Illinois, and you consent to exclusive jurisdiction and venue in such courts. The arbitrator’s award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under this Agreement shall be joined to an arbitration involving any other party subject to this Agreement, whether through class arbitration proceedings or otherwise.

No Class Actions
TO THE EXTENT ALLOWED BY LAW, MICROCEUTICAL AND YOU EACH WAIVE ANY RIGHT TO PURSUE DISPUTES ON A CLASSWIDE BASIS; THAT IS, TO EITHER JOIN A CLAIM WITH THE CLAIM OF ANY OTHER PERSON OR ENTITY, OR ASSERT A CLAIM IN A REPRESENTATIVE CAPACITY ON BEHALF OF ANYONE ELSE IN ANY LAWSUIT, ARBITRATION OR OTHER PROCEEDING.

No Trial By Jury
TO THE EXTENT ALLOWED BY LAW, MICROCEUTICAL AND YOU EACH WAIVE ANY RIGHT TO TRIAL BY JURY IN ANY LAWSUIT, ARBITRATION OR OTHER PROCEEDING.

Miscellaneous Terms
Microceutical’s failure to insist upon or enforce strict performance of any provision of these Terms shall not be construed as a waiver of any provision or right. Neither the course of conduct between Microceutical and you nor any other party nor trade practice shall act to modify any provision of these Terms. You may not assign your rights and duties under these Terms at any time. This is the entire agreement between the parties relating the subject matter herein and supersedes any prior understanding, agreements or representations whether written or oral. If any provision of these Terms is held to be invalid, void or unenforceable by a court of competent jurisdiction, then such provision shall be deemed severed from these Terms and will not affect any other provision of these Terms, the balance of which shall remain in and have their intended full force and effect. The headings and titles of the sections of the Terms are not a part of these Terms, but are for convenience only and are not intended to define, limit or construe the contents of any such sections. This Website is controlled and operated within the United States. Microceutical does not represent that the Website is appropriate or available for use elsewhere. If you access this Website from outside the United States, you do so at your own risk.
